Econ Job Market Inc. Terms of Use Agreement

Updated in February 2022 and effective July 3, 2022.

By using the EconJobMarket.org site you are entering into a legally binding agreement with Econ Job Market Incorporated.

Econ Job Market Incorporated, San Diego, California, USA (hereinafter collectively "EconJobMarket", "EconJobMarket.org", "we," "us") provides a venue to facilitate the connection between academic (Ph.D.) economists seeking employment and organizations that seek to hire academic economists. EconJobMarket performs this function through its web site, database, code, and its related services.

The following Definitions apply to this and EconJobMarket's other legal documents:

Candidate: An academic economist seeking employment who registers and establishes a Candidate account at the Site and may submit applications and supporting materials via the Site.

Proxy: An authorized staff representative of a Reference who is given a Proxy account with the Site for the purpose of securely submitting recommendation letters for Candidates on behalf of the Reference.

Reference (also known as “Recommender”): An individual who is given a Reference account with the Site for the purpose of securely submitting letters of recommendation for Candidates.

Recruiter: A representative of a university, college, economics department, business school, government agency, private firm, or any other legitimate organization that searches for suitably qualified academic economists and has a Recruiter account with the Site allowing the representative to post job advertisements and review the applications that Candidates submit.

Services: The online services provided at the EconJobMarket.org Site for registered Users. These services include, but are not limited to: (a) the collection, display and transmission of job-listings advertisements uploaded by Recruiters; (b) the collection of application materials (including biographical information, curricula vitae, technical papers, and other files and information) from Candidates and letters of recommendation from References and Proxies; (c) the transmission of application materials and letters of recommendation to Recruiters; and (d) facilitating communication between Candidates and Recruiters for the purpose of scheduling interviews and conveying other information about the job market.

Site: The EconJobMarket.org website, code, and database including the Services offered therein.

Users (also referred to as “you”): All Candidates, References, Proxies, Recruiters and verified legitimate organizations that have registered and established User accounts with the Site.

Visitors: All others who access the EconJobMarket Site but do not register or establish User accounts.

These terms govern your use and our provision of the EconJobMarket Site and Services on which these terms are posted. EconJobMarket provides the Site and Services subject to your compliance with this Terms of Use Agreement ("Agreement"). This Agreement applies in conjunction with the policies contained in EconJobMarket's Privacy Notice. PLEASE READ THESE TERMS AND OUR PRIVACY NOTICE CAREFULLY BEFORE USING THE ECONJOBMARKET SITE OR SERVICES.

NOTHING IN THESE TERMS IS INTENDED TO AFFECT YOUR RIGHTS UNDER THE LAW IN YOUR PLACE OF RESIDENCE. IF THERE IS A CONFLICT BETWEEN THOSE RIGHTS AND THESE TERMS, YOUR RIGHTS UNDER APPLICABLE LOCAL LAW WILL PREVAIL.

1. CONTRACT BETWEEN YOU AND US

This is a contract between you and Econ Job Market Incorporated, a California nonprofit 501(c)(3) tax-exempt charity organization located at 3268 Governor Dr., Suite # 328, San Diego, CA 92122, USA, that solely owns and operates www.EconJobMarket.org. You must read and agree to these terms before using the EconJobMarket Site or Services. If you do not agree, you may not use the EconJobMarket Site or Services. These terms describe the limited basis on which the Site and Services are available and supersede prior agreements or arrangements.

We may amend these terms. Any such amendment will be effective thirty (30) days following either our dispatch of a notice to you or our posting of the amendment on the EconJobMarket Site. If you do not agree to any change to these terms, you must discontinue using the EconJobMarket Site and Services.

We may immediately terminate this contract with respect to you (including your access to the EconJobMarket Site and Services) if you fail to comply with any provision of these terms.

2. PARTIES TO AGREEMENT; CHANGES

This Agreement is made between EconJobMarket and you. This Agreement also pertains to all other users of and visitors to the Site ("others", "other users"). We reserve the right at any time to: (a) change the terms and conditions of this Agreement; (b) change the Site, including eliminating or discontinuing any content on or feature of the Site, restricting the hours of availability or limiting the amount of use permitted; (c) change any fees for future use of the Site; and/or (d) terminate and/or discontinue the Site in its entirety including the termination of all Services provided thereby.

Any changes we make will be effective immediately upon notice, which we may provide by any means including, without limitation, posting on the Site or via electronic mail. Your use of the Site after such notice will be deemed acceptance of such changes. Be sure to review this Agreement periodically to ensure familiarity with the most current version. Upon our request, you agree to sign a non-electronic version of this Agreement.

3. YOUR RIGHTS AND OBLIGATIONS

You represent and warrant that you (a) use your legal name as an individual person to establish and maintain your EconJobMarket account; (b) are not under the age of 18 (and if a resident of Alabama or Nebraska, not under the age of 19 and if a resident of Mississippi, not under the age of 21); (c) have not previously been suspended or had an account removed from EconJobMarket.org; and (d) that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party. In addition, you must provide all equipment and software necessary to connect to EconJobMarket.org.

While using the Site or Services, you agree NOT to do any of the following without our prior written authorization:

Post any inaccurate, outdated, incomplete or misleading information.
Establish multiple accounts for yourself or another individual person or organization.
Access the Site using another user's log-in information and/or submit materials to the Site for another user, unless you are acting as this user's Proxy as designated by the Site.
Place any contact information within an advertisement that is different from contact information provided for your organization in the Site.
Resell or make available to any person not expressly licensed by EconJobMarket, whether via phone, fax, e-mail, mail or any other medium, any of the EconJobMarket Services or any related information obtained.
Share passwords, login information, or named user identification or otherwise allow multiple offices or users to access the EconJobMarket Services on a basis that is other than what was originally subscribed for. A named user is defined as one unique individual user with one unique password. An office is defined as a location where a named user routinely accesses or uses the EconJobMarket Services under express license from EconJobMarket.
Use any search engine, software, tool, agent or other device or mechanism, including without limitation browsers, spiders, robots, avatars or intelligent agents (other than those made available by EconJobMarket on the Site or other generally available third party web browsers, e.g., Mozilla Firefox or Microsoft Internet Explorer), to navigate or search the Site in order to retrieve information that you are not entitled to receive, to disrupt the normal functioning of the Site, to reproduce or circumvent the navigational structure or presentation of the Site or its contents, or to otherwise violate this Terms of Use Agreement.
Set inaccurate dates (opening and closing) for advertisements posted on the Site.
Engage in spamming, flooding, soliciting or mass marketing via e-mail, direct mail, telephone, or otherwise to EconJobMarket subscribers.
Express or imply that any statements you make are endorsed by us.
Impersonate any person or entity, including, without limitation, an EconJobMarket employee, an agent of EconJobMarket, a user of the Site and/or Services (including a Candidate, Reference, Recruiter, Proxy, placement specialist or an employer), or otherwise misrepresent your affiliation with any person or entity.
Restrict or inhibit any other user from using and enjoying the Site and Services, including, without limitation, by means of "hacking" or defacing any portion of the Site.
Post or transmit (a) any incomplete, false or inaccurate biographical information; (b) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable or harmful, or that infringes on our or any third party's intellectual property or other rights; (c) any information or software that contains a virus, worm, Trojan horse or other harmful or disruptive component; (d) any trade secret of any third party; or (e) any material, nonpublic information about companies without the authorization to do so.
Use the Site for any unlawful commercial, research or information-gathering purposes.
Utilize contact information gathered from the Site to communicate in an unsolicited way, outside the scope of EconJobMarket Services, with other users of the Site.
Use information collected by EconJobMarket in a way that is illegal in your legal jurisdiction.
Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of the Site.
"Frame" or "mirror" any part of the Site.
Publish, make available publicly, or transmit to any unauthorized users any information retrieved from the Site.
Link to any page of or material on the Site other than the URL located at https://www.EconJobMarket.org/ for the purpose of circumventing features and/or information on the Site.
Print, copy, transmit or use in any other way any materials associated with a Candidate for purposes other than consideration of the Candidate for potential employment by your organization.
Submit any sensitive personal information, such as social security numbers and similar information.

This Agreement prohibits EconJobMarket users from transmitting information gathered through the Site to any unauthorized users or to the public. For instance, it is a violation of this Agreement for an organization to publish or make publicly available any information about Candidates (including, but not limited to, application materials and letters of recommendation). Any other unauthorized distribution of data obtained through EconJobMarket is also a violation of this Agreement. Distribution of information within your organization for the purpose of evaluating Candidates does not constitute a publication and is allowed under this Agreement.

EconJobMarket assumes no responsibility or liability for the way its users utilize or transmit data obtained through the Site. EconJobMarket assumes no responsibility or liability for the selection, hiring, and/or retention of Candidates by the organizations using the Site. You agree to and will hold EconJobMarket harmless from any claims, damages or losses incurred by you or your organization, or any other party, as a result of your use of the EconJobMarket system. Do not submit any sensitive personal information, such as social security numbers and similar information. You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site and Services.

EconJobMarket has no obligation to monitor the Site or Services. However, you acknowledge and agree that EconJobMarket has the right (but not the obligation) to monitor the Site and Services and the materials you transmit or post, to alter or remove any such materials (including, without limitation, any posting to the Site), and to disclose such materials and the circumstances surrounding their transmission to any third party in order to operate the Site properly, to protect itself, its sponsors, its subsidiaries, its affiliates, its agents, its suppliers, and its registered users and visitors, and to comply with legal obligations or governmental requests. EconJobMarket reserves the right to refuse to post or to remove any information or materials, in whole or in part, that it deems in its sole discretion to be unacceptable, offensive or in violation of this Agreement. EconJobMarket also reserves the right to prohibit any user who, in EconJobMarket's sole discretion, violates any terms of this Agreement from using the Site and Services. Such prohibition may occur without notice to the user.

4. OUR RIGHTS AND OBLIGATIONS

EconJobMarket commits to operate the Site and to offer the Services for the common benefit of participants in the academic economics job market, in accordance with the Privacy Notice. We may not use the Site or Services to sell your contact information, or other personal information, to any person or company without your approval, except in the event of a transfer of ownership of EconJobMarket, the Site, the Services, and/or any related assets to another non-profit entity for the purpose of continuing to offer the Services.

EconJobMarket reserves the right to update, improve and expand, discontinue and change the Site and Services at any time and at EconJobMarket's sole discretion.

We allow you to access EconJobMarket as it may exist and be available on any given day. We have no other obligations, except as expressly stated in this Agreement. We may modify, replace, refuse access to, suspend or discontinue EconJobMarket, partially or entirely, or to charge and modify prices for EconJobMarket. We reserve all rights not expressly granted herein, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in EconJobMarket and all related items.

EconJobMarket reserves the right to withhold, remove and or discard any content available as part of your account, with or without notice. For avoidance of doubt, EconJobMarket has no obligation to store, maintain or provide you a copy of any content that you or other users provide when using the Services.

EconJobMarket may include or automatically produce links to third party web sites ("Third Party Sites"). EconJobMarket is not responsible for and does not endorse any advertising, products or other materials on or available from Third Party Sites or resources. EconJobMarket may also include articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). If you decide to leave EconJobMarket and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from EconJobMarket or relating to any applications you use or install from the site.

5. REGISTRATION; USE OF SECURE AREAS AND PASSWORDS

Some areas of the Site require you to register, and establish user accounts, with us. When and if you register, you agree to (a) provide accurate, current, and complete information about yourself as prompted by our registration form (including your e-mail address) and (b) to maintain and update your information to keep it accurate, current, and complete. You acknowledge that should any information provided by you be found to be untrue, inaccurate, not current, or incomplete, we reserve the right to terminate this Agreement with you and your use of the Site.

We may refuse to allow you to use a username that impersonates someone else, may be illegal, may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by us in our sole discretion. You will be responsible for the confidentiality and use of your password and agree not to distribute, transfer or resell your use of or access to the Site to any third party. If you have reason to believe that your account with us is no longer secure, you must promptly change your password by updating your account information (if an option for your account) and immediately notify us of the problem via the contact form at https://econjobmarket.org/contact. YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR PASSWORD AND SOLELY AND ENTIRELY RESPONSIBLE FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

6. SUBMISSIONS

Because we collect materials from you and other users for distribution to approved recipients, we require certain rights in those materials. Therefore, by sending or transmitting to us information and materials (including, but not limited to, advertisements, application materials, and recommendation letters) (collectively, "Content"), or by posting such Content to any area of the Site, you must grant us and our designees, and you actually grant us and our designees by concluding the Agreement, a non-exclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenseable, fully paid up and royalty-free right to copy, distribute, publish, and transmit the Content to authorized recipients that you specify, implicitly or explicitly, by using the Site, without any further consent, notice and/or compensation to you or any third parties. You hereby grant EconJobMarket permission to display your logo, trademarks and organization name on the Site for the sole purpose of providing the Services.

By submitting Content to us, you represent and warrant that such Content submission is accurate to your best knowledge, that you have the legal right to transmit such Content to us and that such Content or its transmission is not in violation of any contractual restrictions or other third party rights. Further, by submitting Content to EconJobMarket, you acknowledge that you have the authority to grant such rights to EconJobMarket. DO NOT SUBMIT ANY SENSITIVE PERSONAL INFORMATION, SUCH AS SOCIAL SECURITY NUMBERS AND SIMILAR INFORMATION.

EconJobMarket may include your organization's name on reports of the recruiting organizations that use EconJobMarket's Services, provided your organization's name is not the only one listed. EconJobMarket may include the advertisements posted by you on the EconJobMarket website and in its marketing materials, provided your organization's name and/or advertisement is not the only one listed and/or reported. Otherwise, EconJobMarket may use your organization's name and identity as an EconJobMarket client in advertising, publicity, or similar materials, subject to your prior written consent and approval.

The servers for www.EconJobMarket.org are located in the United States and in Canada. By entering information on this site, you consent and agree to the transfer of this information to the United States and Canada, and you acknowledge that your data is protected by and subject to the laws of the United States and Canada. Your information will be handled in accordance with our Privacy Notice and this Terms of Use Agreement.

PLEASE NOTE THAT YOU RETAIN OWNERSHIP OF ANY COPYRIGHTS, TRADEMARKS AND SERVICE MARKS IN ANY CONTENT YOU SUBMIT.

None of the Content is endorsed by EconJobMarket, and EconJobMarket cannot and does not make any representations with respect to the truth or reliability of the Content. EconJobMarket reserves the right to remove any Content, in whole or in part, from the Site. Recruiters that post advertisements in EconJobMarket are free to specify the information that they require of Candidates. The Site allows Recruiters to completely design their advertisements and application forms (including all questions and documents to upload). EconJobMarket has no obligation to monitor the design of advertisements and application forms. EconJobMarket is not responsible for, and assumes no liability for, Recruiters' specification of advertisements and application forms and any information provided by Candidates. EconJobMarket is not responsible for any questions asked by a Recruiter that may violate policies or laws in some jurisdictions or that Recruiters may use in a "discriminatory" way. EconJobMarket does not endorse or condone any specific information collected by Recruiters that use the Site.

7. COPYRIGHT INFRINGEMENT

Notice and Takedown Procedure

EconJobMarket expeditiously responds to valid notices of copyright infringement that adhere to the requirements set forth in the Digital Millennium Copyright Act (DMCA). If you believe that your work has been copied in a way that constitutes copyright infringement, you may provide EconJobMarket’s Designated Agent (listed below) with a notice that contains all six points enumerated below (preferably via email).

Upon receipt of a valid notice, EconJobMarket will remove or disable access to the allegedly infringing content as well as make a good-faith attempt to contact the owner or administrator of the affected content so they may counter-notice pursuant to Sections 512(g)(2) and (3) of the DMCA.

i. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

ii. A description of the copyrighted work that you claim has been infringed upon;

iii. A description of where the material that you claim is infringing is located on the site, including the URL, if applicable;

iv. Your address, telephone number, and e-mail address;

v. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and,

vi. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Be aware that a notice must contain all six points for EconJobMarket to take action. All other notices will be ignored.

Counter-Notification Procedure

The provider of the allegedly infringing content may make a counter-notification pursuant to sections 512(g)(2) and (3) of the DMCA. To file a counter-notification with EconJobMarket please provide EconJobMarket’s Designated Agent (listed above) with the following information (preferably via email):

i. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;

ii. Your name, address, and telephone number;

iii. The following statement: "I consent to the jurisdiction of Federal District Court for the [insert the federal judicial district in which your address is located]";

iv. The following statement: "I will accept service of process from [insert the name of the person who submitted the infringement notification] or his/her agent";

v. The following statement: "I swear, under penalty of perjury, that I have a good faith belief that the affected material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled"; and

vi. Your signature, in physical or electronic form.

Upon receipt of a counter-notification containing all six points, EconJobMarket will promptly provide the person who provided the original takedown notification with a copy of the counter-notification, and inform that person that SME will replace the removed material or cease disabling access to it in 10 business days.

Finally, if EconJobMarket’s Designated Agent receives notification from the person who submitted the original takedown notification within 14 days of receipt of the counter-notification that an action has been filed seeking a court order to restrain the alleged infringer from engaging in infringing activity relating to the material on its system, then EconJobMarket will once again remove the file from its system.

Repeat Infringers

In accordance with Section 512(i)(1)(a) of the DMCA, EconJobMarket will, in appropriate circumstances, disable and/or terminate the accounts of users who are repeat infringers.

Accommodation of Standard Technical Measures

It is EconJobMarket's policy to accommodate and not interfere with standard technical measures used by copyright owners to identify or protect copyrighted works that EconJobMarket determines are reasonable under the circumstances.

8. FEES AND DONATIONS

As detailed in our Privacy Notice, if you are required to pay a fee for products or Services made available at the Site or wish to make a voluntary payment (donation) to EconJobMarket, and if you elect to make the payment by credit card, then payment processing shall be administered by an outside credit-card processing service provider such as Paypal or Stripe. In addition to providing us with information as to your name and an indication of the use fee or donation for which you will be submitting payment, you may be asked by the applicable service provider to supply other information, including but not limited to credit card information, in order to complete the payment. You agree that all information that you provide to us or any such service provider will be accurate, complete and current. You agree to promptly pay all charges incurred by you or any users of your account at the prices in effect when such charges are incurred. You will also be responsible for paying any applicable taxes relating to your purchases. Moreover, you agree to review and to comply with the terms and conditions of any specific agreement, if any, that you enter into with the outside credit-card processing service provider in connection with the licensing or purchase of any product or service.

9. WARRANTY INFORMATION; DISCLAIMER

THIS SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SITE RELATED SERVICE, OR ANY PRODUCT OR SERVICE LICENSED, PURCHASED OR OTHERWISE MADE AVAILABLE THROUGH THE SITE, IS PROVIDED "AS IS" WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, ECONJOBMARKET AND ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, SPONSORS, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER ECONJOBMARKET NOR ITS SUBSIDIARIES, AFFILIATED COMPANIES, EMPLOYEES, SHAREHOLDERS, OR DIRECTORS (COLLECTIVELY KNOWN AS "ECONJOBMARKET AFFILIATES"), NOR ITS SPONSORS, SUPPLIERS AND AGENTS MAKE ANY REPRESENTATION AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SITE OR THE SITE-RELATED SERVICES.

ECONJOBMARKET, ECONJOBMARKET AFFILIATES, SPONSORS. SUPPLIERS, AND AGENTS DO NOT WARRANT THAT YOUR USE OF THE SITE OR THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE (OR THE SERVERS ON WHICH IT IS HOSTED) OR SOFTWARE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ECONJOBMARKET DOES NOT WARRANT AGAINST LOSS OF DATA YOU AND/OR OTHERS PROVIDE TO THIS SITE, ALTHOUGH EVERY REASONABLE EFFORT WILL BE TAKEN TO ENSURE THAT YOUR DATA IS NOT RELEASED TO ANY OTHER PARTY THAT YOU HAVE NOT SPECIFICALLY AGREED TO RELEASE YOUR DATA TO. YOU (AND NOT ECONJOBMARKET) ASSUME THE RESPONSIBILITY AND COST OF ALL NECESSARY BACKUPS, REPAIR, OR CORRECTION OF DATA IN YOUR ACCOUNT ON THIS SITE. YOU ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR OBTAINING AND MAINTAINING ALL TELEPHONE, COMPUTER HARDWARE AND OTHER EQUIPMENT NEEDED TO ACCESS AND USE THE SITE, AND ALL CHARGES RELATED THERETO. Although EconJobMarket attempts to ensure the integrity and the accuracy of the Site, it makes no guarantees whatsoever as to the Site's completeness or correctness. You assume all risks related to dealing with other users with whom you have had contact through the Site.

You acknowledge and agree that you are solely responsible for the form, content and accuracy of any materials that you post to the Site. 10. LIMITATION OF LIABILITY

NEITHER ECONJOBMARKET NOR ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, ADVERTISERS, AGENTS OR SPONSORS ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE AND/OR CONTENT CONTAINED ON THE SITE, OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THE SITE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT CONTAINED WITHIN THE SITE IS TO STOP USING THE SITE. THE SOLE AND EXCLUSIVE MAXIMUM LIABILITY TO ECONJOBMARKET FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE OR OTHERWISE) SHALL BE THE TOTAL AMOUNT PAID BY YOU, IF ANY, TO ACCESS THE SITE DURING THE PERIOD OF TIME IN QUESTION.

12. INDEMNIFICATION

You agree to indemnify, defend and hold EconJobMarket, our affiliates, sponsors, officers, directors, employees, agents, representatives and suppliers harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees), or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement, (b) your violation of your Rights and Obligations under this Agreement, and/or (c) your activities in connection with the Site or Site-related Services.

13. RIGHTS OF OWNERSHIP

The EconJobMarket Site, including all pages within and all code related thereto, and all trademarks, service marks, trade names, trade dress and other intellectual property rights in the EconJobMarket Services are owned by EconJobMarket. No portion of the materials or code on these pages or anywhere on the Site may be reprinted or republished (other than as is necessary to view the page on your monitor) in any form without the express written permission of EconJobMarket. The Site is owned and operated by us in conjunction with others pursuant to contractual arrangements. Unauthorized use of the materials on the Site may violate copyright, trademark, patent and other laws and is prohibited.

Except as we specifically agree in writing, no element of the EconJobMarket Site or Services may be used or exploited in any way other than as part of the EconJobMarket Site or Services offered to you. You may own the physical media on which elements of the EconJobMarket Site or Services are delivered to you, but we retain full and complete ownership of the EconJobMarket Site and Services. We do not transfer title to any portion of the EconJobMarket Site or Services to you. You acknowledge that you do not acquire any ownership rights by using the Site or Services.

14. TERMINATION

You may terminate the Agreement, for any or no cause, at any time, with notice to EconJobMarket which shall be effective upon EconJobMarket processing such notice. EconJobMarket, in its sole discretion, may terminate the Agreement for any or no cause, at any time, with or without notice, which shall be effective immediately or as may be specified in the notice. Termination of your EconJobMarket account includes disabling your access to the EconJobMarket Site and Services (including any content you submitted or others submitted) and may also bar you from any future use of the EconJobMarket Site and Services.

In furtherance and without limiting the foregoing, EconJobMarket has adopted a policy of terminating, in appropriate circumstances and at EconJobMarket's sole discretion, members who are deemed to be repeat infringers under the United States Copyright Act. EconJobMarket may also at its sole discretion limit access to the Site, the Services and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

15. CHILDREN

EconJobMarket.org is not intended for children under 18 years of age. Children under the age of 18 are not eligible to register for or with EconJobMarket.org. We do not knowingly collect personal information from children under 18.

16. CHOICE OF FORUM

You agree that any action at law or in equity arising out of or relating to these terms or the EconJobMarket Site or Services shall be filed, and that venue properly lies, only in the state or federal courts located in the County of San Diego, State of California, United States of America and you consent and submit to the personal jurisdiction of such courts for the purposes of litigating such action.

17. CHOICE OF LAW

This Agreement is entered into in the State of California and shall be governed by and construed in accordance with the laws of the State of California, exclusive of its choice of law rules. Each party to this Agreement hereby submits to the exclusive jurisdiction of the state and federal courts sitting in the County of San Diego in the State of California for any dispute arising under or in connection with this Agreement, the Site or any Site-related Services, and waives any jurisdictional, venue or inconvenient forum objections to such courts. In any action to enforce this Agreement,

18. GENERAL TERMS

Severability: If any provision of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. Further, .this shall not affect the validity or enforceability of (a) such provision under the laws of any other jurisdiction, or (b) any other provision of the Agreement.
Notices: We may notify you via postings on www.EconJobMarket.org, and via email or any other communications means to contact information you provide to us. You may notify us via e-mail to any notices that you provide without compliance with this Section on Notices shall have no legal effect.
Amendments to this Agreement: We reserve the right to modify, supplement or replace the terms of the Agreement, effective upon posting at www.EconJobMarket.org or notifying you otherwise. If you do not want to agree to changes to the Agreement, you can terminate the Agreement at any time per the Termination paragraph set forth above in this Agreement.
Waiver: No waiver of any provision of this Agreement by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches.
No informal waivers, agreements or representations: Except as expressly and specifically contemplated by the Agreement, no representations, statements, consents, waivers or other acts or omissions by EconJobMarket or its representative, agent, affiliate, sponsor, supplier or subsidiary shall be deemed legally binding on EconJobMarket or its representative, agent, affiliate, sponsor, supplier or subsidiary, unless documented in a physical writing hand-signed by a duly appointed officer of EconJobMarket.
No Injunctive Relief: In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Site or the Services provided, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Site or the Services or any content or other material used or displayed through the Site.
Beneficiaries: EconJobMarket sponsors, subsidiaries, suppliers and/or affiliates are not parties, but intended third party beneficiaries of this Agreement, with a right to enforce the Agreement directly against you.
Assignment and Delegation: You may not assign or delegate any rights or obligations under the Agreement and any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under the Agreement, fully or partially. We may also substitute, by way of unilateral novation, effective upon notice to you, EconJobMarket Incorporated for any third party that assumes our rights and obligations under this Agreement.
Attorney Fees: If EconJobMarket is the prevailing party in a suit, action, arbitration or other proceeding of any nature whatsoever, instituted in connection with any controversy arising out of this Agreement or to interpret or enforce any rights under this Agreement, whether based in contract or in tort, then EconJobMarket is entitled to recover reasonable attorneys’ fees, costs, and expenses incurred in connection with that action in addition to any other available remedy.
Section Headings: The section headings contained herein are for reference purposes only and shall not in any way affect the meaning or interpretation of this Agreement or any section or provision hereof.

19. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, is entered into freely and voluntarily with full knowledge and understanding of the contents thereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly canceled.
